Directeur / Directrice M&A - France (H/F)

En tant que leader de terrain au sein de l'équipe M&A, le Directeur ou la Directrice pilote plusieurs acquisitions par an, de l'évaluation initiale à l'intégration post-closing. Il ou elle rencontre les propriétaires d'entreprises afin d'évaluer leur adéquation aux critères d'acquisition de la société et d'en déterminer la valorisation. Après l'acquisition, il ou elle est responsable de la stratégie et des principales améliorations opérationnelles. En lien étroit avec l'équipe d'origination, les operating partners et l'équipe finance, il ou elle dirige et développe la fonction M&A au sein de son vertical, en apportant un leadership et une direction à l'équipe.

Responsabilités
- Rencontrer les propriétaires d'éditeurs de logiciels et partager la proposition de valeur de la société : être le meilleur port d'attache permanent pour les entreprises acquises.
- Piloter plusieurs processus d'acquisition par an, de la lettre d'intention (LOI) jusqu'au closing, en collaborant avec les propriétaires d'entreprises sur les enjeux clés et les obstacles rencontrés, afin d'assurer la réussite des opérations.
- Analyser les données financières et élaborer des modèles de valorisation financière.
- Diriger les travaux de due diligence afin d’identifier les principaux risques et opportunités des entreprises cibles.
- Gérer efficacement les ressources internes et les prestataires externes selon les besoins (techniques, comptables, juridiques).
- Gérer l'intégration post-acquisition, en mettant en œuvre les meilleures pratiques de la société en matière de gestion d'éditeurs de logiciels et en capitalisant sur les opportunités identifiées lors de la due diligence.
- Entretenir les relations avec les intermédiaires et les banquiers d'affaires afin de soutenir les efforts de développement commercial.
- Constituer une équipe M&A pour accompagner le développement d'un vertical spécialisé.
Qualifications requises
- Expérience avérée en tant que leader M&A, avec un volume significatif de transactions buy-side réalisées dans le secteur des logiciels et de la technologie en France.
- Capacité et volonté d'influencer stratégiquement la direction, de développer l'équipe et de faire croître la région, tout en étant à l'aise pour s'impliquer directement et opérationnellement dans les transactions, en tant que premier profil d'exécution de la région.
- Une qualification CA/CPA et/ou un MBA constitue un atout.
- Capacité à évaluer rapidement les principaux risques et opportunités d'une entreprise.
- Capacité à négocier et à exécuter des acquisitions avec des propriétaires et dirigeants d'entreprises.
- Culture financière et capacité à construire des présentations destinées aux comités de direction et aux conseils d'administration.
- Maîtrise professionnelle de l'anglais et du français, à l'écrit comme à l'oral.
Nous ne disposons pas encore de bureau physique en France, celui-ci sera situé à Paris. Nous recherchons des personnes à l'aise avec un fonctionnement hybride, idéalement 2 à 3 jours ou plus par semaine sur site.
Director of M&A - France
Job Profile:
As a front-line leader on the M&A team, the Director leads multiple acquisitions per year from early-stage evaluation through to post-closing integration, meeting with business owners to evaluate alignment with the company’s acquisition criteria and to determine prospective company valuations. Post-acquisition, the Director will be responsible for strategy and key operational improvements. Working closely with the origination team, operating partners, and finance team, the Director will be expected to lead and grow the M&A function within their industry vertical, providing senior leadership and direction to the team.

Responsibilities:
- Meet with software owners and share the company’s value proposition of being the best permanent home for the acquired business.
- Lead multiple acquisition processes per year, from LOI through closing, collaborating with business owners on key issues and roadblocks to ensure successful closings.
- Analyse financial data and prepare financial valuation models.
- Lead diligence efforts to surface key risks and opportunities in target businesses.
- Effectively manage internal resources and external vendors as needed (e.g., tech, accounting, legal).
- Manage post-acquisition integration, implementing the company’s best practices for running software companies and capitalising on the opportunities surfaced during diligence.
- Nurture relationships with business brokers and bankers to aid business development efforts.
- Build an M&A team to support the development of a specialised vertical.
Qualifications for success:
- Proven experience as an M&A leader having executed a volume of buy side transactions in the software and technology sector in France.
- The ability and willingness to strategically influence leadership, grow the team and develop the region, while also being comfortable 'rolling up your sleeves' in transactions as the first execution headcount in the region.
- CA/CPA and/or MBA is an asset.
- Ability to quickly evaluate key risks and opportunities in a business.
- Ability to negotiate and execute acquisitions with business owners/executives.
- Financial literacy and the ability to build presentations for executive- and board-level audiences.
- Business-level written and spoken fluency in English and French
- While we don't have a physical office in France yet, it will be in Paris, and we will be looking for people comfortable working there in a hybrid capacity, ideally 2-3+ days a week.
